Terms of Service

These Terms of Service ("Terms") govern your use of the website at vilozi.com and the software and mobile apps provided by Vilozi Inc. ("Vilozi", "we", "us"). By using our website or services, you agree to these Terms. If you use our services on behalf of a business, you agree to them for that business.

Our services

Vilozi provides software for businesses in construction, the trades and similar industries, including job and crew management, calls and messaging, AI assistants, and quoting and invoicing tools. Some services are offered under a separate written agreement with a business; where that agreement conflicts with these Terms, the agreement applies.

Accounts

You must give accurate information when you create an account, keep your sign-in details secure and tell us promptly about any unauthorised use. You're responsible for what happens under your account. You must be at least 18, or the age of majority where you live, to create an account.

Acceptable use

You agree not to: use our services for anything unlawful, deceptive or harmful; send spam or messages people haven't agreed to receive; record calls or contact people without the consent the law requires; upload content you don't have the right to share; try to break, overload or get around the security of our services; or copy, resell or reverse-engineer our software except as the law allows.

Artificial intelligence features

Our services use AI to answer calls and messages, draft documents and suggest schedules. AI can make mistakes. You're responsible for reviewing AI-drafted quotes, invoices, claims and other documents before you send or rely on them, and for how you use AI features with your own customers, including telling them when they're speaking with an AI assistant where the law requires it. How AI providers handle data is described in our Privacy Policy.

Your content

You keep ownership of the information and files you put into our services ("your content"). You give us permission to store, process and display your content only as needed to provide and support our services. You're responsible for having the rights and consents needed for your content, including your customers' information.

Our property

Our software, website, designs, models and brand belong to Vilozi Inc. and its licensors. These Terms don't give you any rights to them except the right to use our services as described here. If you send us feedback, we may use it without any obligation to you.

Fees

Paid services are billed as set out in your order or agreement. Unless that agreement says otherwise, fees are payable in advance, are non-refundable and exclude taxes.

Third-party services

Our services connect to third-party services, such as phone carriers, payment processors and AI providers. Their own terms may apply, and we're not responsible for their services.

Availability and changes

We work to keep our services available and secure, but they may sometimes be interrupted for maintenance, updates or reasons outside our control. We may change or discontinue features, and we'll give reasonable notice of changes that significantly reduce what a paid service does.

Ending your use

You can stop using our services at any time and delete your account as described in our Privacy Policy. We may suspend or close an account that breaks these Terms or puts our services or other people at risk. Sections that by their nature should continue, such as ownership, disclaimers and limits of liability, survive.

Disclaimers

Our services are provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and we don't promise that our services or AI outputs will be error-free.

Limitation of liability

To the extent the law allows, Vilozi won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to our services is limited to the amount you paid us for them in the 12 months before the claim. Some places don't allow these limits, so they may not apply to you.

Indemnity

If you use our services for a business, that business agrees to defend and hold Vilozi harmless from claims arising from its content, its use of our services in breach of these Terms, or its breach of law.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and disputes go to the courts of Ontario, unless the law where you live requires otherwise.

Changes to these Terms

We may update these Terms. We'll change the date at the top of this page and, for significant changes, tell account holders before they take effect. Continuing to use our services after that means you accept the new Terms.
